By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, and to the collection and use of your personal information as established in the Veracity Privacy Policy which are included in these Terms by reference The Children’s Online Privacy Protection Act (“COPPA”) requires that online service providers obtain parental consent before they knowingly collect personally identifiable information online from children under 13. We do not knowingly collect or solicit personally identifiable information from children under 13 (or children under 16 who are domiciled in the European Union). If you are a child under 13 (or domiciled in the European Union and under 16), please do not attempt to register for the Services or send any personal information about yourself to us.

Some parts of our Services are cloud-hosted/SaaS plans and subscription-based, billed on a monthly subscription basis or paid in bulk annually ("Subscription(s)"). Your rights under such plans shall be governed by the terms of your Subscription.

Our Services allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the subject matter of the content you provide to our Services. You agree that you shall not post, link, store, or share anything that is infringing upon the intellectual property of anything that violates any applicable law or regulation. You irrevocably grant Veracity the right to store, republish, and display any Content.

Warranty Disclaimer. Veracity makes no representations or warranties concerning any content contained in or accessed through the Services, and we will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material contained in or accessed through the Services. We (and our licensors and suppliers) make no representations or warranties regarding suggestions or recommendations of services or products offered or purchased through the Services. We cannot and do not guarantee that any content of the Services will be free from viruses and/or other code that may have contaminating or destructive elements. It is your responsibility to implement appropriate IT security safeguards (including anti-virus and other security checks) to satisfy your particular requirements as to the safety and reliability of Content. THE SERVICES AND CONTENT ARE PROVIDED BY VERACITY ON AN “AS-IS” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Limitation of Liability. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL VERACITY BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, OR (B) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE GREATER OF (I) $100 OR (II) THE AMOUNTS PAID BY YOU TO VERACITY IN CONNECTION WITH THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THIS APPLICABLE CLAIM, OR (C) ANY MATTER BEYOND OUR REASONABLE CONTROL. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.

Indemnity. To the fullest extent allowed by applicable law, You agree to indemnify and hold Veracity, its affiliates, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third party claims relating to (a) your use of the Services (including any actions taken by a third party using your account), and (b) your violation of these Terms. In the event of such a claim, suit, or action (“Claim”), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

The materials appearing in our Services could include technical, typographical, or photographic errors. Veracity does not warrant that any of the materials on its website are accurate, complete or current. Veracity may make changes to the materials contained on its website at any time without notice. However Veracity does not make any commitment to update the materials.

Our Services may contain links to or integrations with third-party web sites or services that are not owned or controlled by Veracity.

Veracity has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Veracity shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services.

Veracity has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Veracity of the site. Use of any such linked website is at the user's own risk.

By using any of our Services you are agreeing to be bound by the then current version of these terms of service. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is important, we will try to provide immediate notice. What constitutes an important change will be determined at our sole discretion.

These terms and conditions are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania and you irrevocably submit to the exclusive jurisdiction of the Court of Common Pleas of Cambria County, Pennsylvania or the United States District Court for the Western District of Pennsylvania.
